Terms & Conditions

These Terms and Conditions govern your use of intbes.com and any quotation, contract or supply arrangement entered into through it. International Business & Economic Solutions (“INTBES”, “we”, “us”) is the operator of this website. By using the site, submitting an enquiry or issuing an LOI or ICPO you accept these terms. If you do not accept them, please do not use the site or its forms.

1. About these terms

These Terms apply to the website and to communications made through it. Where a specific sales contract, proforma invoice or framework agreement exists, that document prevails over these Terms for the transaction it covers. Nothing on this website constitutes legal, financial or investment advice.

2. Product information and quotations

The specifications, grades, assays, tolerances and descriptions shown in the catalogue and on product pages are provided in good faith and are indicative. They describe the material typically offered and do not by themselves constitute an offer to sell.

  • A quotation issued by us is an invitation to treat only. It becomes binding solely when both parties sign a contract or when the parties have otherwise expressly agreed in writing.
  • Specifications for a particular cargo are the ones stated in the proforma invoice and contract of sale, not those shown on the website.
  • Assay data, certificates of analysis and product images are for guidance. The controlling quality is the one confirmed by the agreed inspection at loading.
  • We may withdraw or vary a quotation at any time before a contract is concluded.

3. Placing an enquiry or order

Enquiries may be submitted through the contact, Request a Quote or LOI/ICPO forms. An enquiry does not create a contract. A contract comes into existence only when:

  1. we have confirmed the product, quantity, price and delivery terms in writing; and
  2. the buyer has issued, where required, an accepted Letter of Credit, Irrevocable Corporate Purchase Order or bank payment instrument; and
  3. any agreed documentary requirements have been satisfied.

We reserve the right to decline any enquiry or order, including where a KYC check, sanctions screening or credit assessment is not satisfied.

4. Pricing, currency and payment

  • Prices are quoted in the currency stated in the quotation and exclude taxes, duties, port charges and freight unless expressly stated.
  • Prices are subject to change until a contract is concluded; market movements in crude, refined products and freight can be material and rapid.
  • Payment terms are those stated in the contract. For cross-border cargo these are normally an irrevocable documentary letter of credit confirmed by an acceptable bank, or telegraphic transfer against agreed documents.
  • The buyer bears its own bank charges; correspondent and confirmation charges are for the buyer’s account unless otherwise agreed.
  • Late payment may carry interest at the rate stated in the contract, and we may suspend delivery or cancel the contract for serious or repeated delay.

5. Delivery

Delivery terms are agreed per contract and expressed using Incoterms® 2020 — for example EXW, FOB, CFR, CIF or DAP.

  • Risk passes in accordance with the agreed Incoterm and the moment of loading or delivery it specifies.
  • Laycan, nominated terminal, vessel nomination and delivery schedule are those fixed in the contract, not those indicated in an enquiry.
  • Time estimates are given in good faith. Delivery dates are not guaranteed unless the contract expressly states they are of the essence.
  • Storage, demurrage, detention and detention-like costs arising from the buyer’s delay in taking delivery are for the buyer’s account.

6. Inspection, quantity and quality

  • Where independent inspection is agreed, the inspector nominated in the contract determines quality and quantity at the load port unless the contract provides otherwise.
  • The certificate issued by that inspector is final and binding for the cargo it covers, save in cases of manifest error or fraud.
  • Claims regarding apparent condition or shortage must be notified promptly and in any event within the period stated in the contract, supported by the survey report required by it.
  • It is the buyer’s responsibility to confirm that the product is legally importable and technically usable in the destination country.

7. Documents

Unless the contract states otherwise, the document set for a shipment normally includes the commercial invoice, packing list where applicable, certificate of quality and quantity, certificate of origin, bill of lading or mate’s receipt, and any inspection or insurance certificate required. Drafts are issued for review before final release where the payment terms allow.

8. Compliance, sanctions and anti-bribery

Both parties shall comply with applicable export controls, economic sanctions, anti-money-laundering rules and anti-bribery laws, including those of the United Arab Emirates, the United Kingdom, the European Union and the United States where they apply to the transaction.

  • Each party warrants that it is not a sanctioned person and that neither it nor its beneficial owners are owned or controlled by one.
  • Each party shall complete the KYC information reasonably required by the other before a contract is concluded.
  • Facilitation payments, bribes and improper inducements of any kind are prohibited in connection with any transaction through this website.
  • Either party may terminate immediately if these warranties are breached or cannot be verified.

9. Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including war, sanctions, blockade, act of terrorism, government action, embargo, strike, port congestion, act of God, epidemic, cyber incident, failure of utilities or communications, or interruption of shipping routes. Obligations affected by such an event are suspended for its duration. If the event continues beyond the period stated in the contract, either party may terminate the affected contract without liability other than for goods already delivered and accepted.

10. Limitation of liability

  • Except where liability cannot be excluded by law, we are not liable for indirect or consequential loss, loss of profit, loss of bargain, loss of production or loss of goodwill.
  • Our total liability arising out of a contract is limited to the amount paid by the buyer under that contract.
  • We do not warrant that the website will be uninterrupted or error-free, and we are not responsible for the content of external sites we link to.
  • Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that applicable law does not permit to be limited.

11. Intellectual property

All content on this website — including text, product data, logos, graphics and the code that serves it — belongs to INTBES or its licensors and is protected by copyright and related rights. You may view and print pages for your own internal business use. Republishing content, reproducing the catalogue for commercial purposes, or using our name or marks without written permission is not permitted.

12. Confidentiality

Commercial information exchanged through an enquiry — including pricing, volumes, counterparties and terms — is treated as confidential and used only to progress the transaction, unless it is already public, was independently received, or must be disclosed by law or to a regulator.

13. Acceptable use of the website

You must not attempt to interfere with the operation of the site, probe its security, submit automated or abusive traffic, upload malicious content, or use the forms to send unlawful, misleading or infringing material. We may restrict or block access where we reasonably believe these rules are being broken.

14. Privacy

How we handle personal data submitted through the forms is described in our Privacy Policy, which forms part of these Terms.

15. Governing law and disputes

These Terms and any contract arising from them are governed by the laws of the United Arab Emirates, without regard to its conflict-of-law rules. The parties will first attempt to resolve any dispute in good faith through discussion. If it is not settled within a reasonable period, the dispute shall be referred to arbitration under the rules of a recognised arbitration institution, unless the contract provides for the courts of a specific emirate. Nothing here prevents either party from seeking urgent interim relief from a competent court.

16. Changes to these terms

We may update these Terms from time to time. The version published on this page at the time you use the site is the one that applies to that use. Continued use after a change constitutes acceptance of the revised Terms.

17. Contact

Questions about these Terms can be sent through the contact form. Please write “Terms” in the subject line.
